Our team advises on commercial transactions, extending from general aspects of Egyptian commercial law to negotiating and drafting specific commercial agreements including agency agreements, distribution agreements, license agreements, technology transfer agreements, joint venture agreements, advertising agreements, promotion agreements, publishing agreements, mobile advertising ad selling and distribution agreements, mobile marketing agreements, artists’ agency agreements and presenter agreements.
Our intellectual property rights practice covers local and international registration and renewal of more than fifty Dr. Oetker Group registered trademarks and more than thirty CJC registered trademarks covering classes ranging from food products to entertainment and leisure.

- Drafting Al Marasem International for Development Company standard services agreements in relation to the operation of Fifth Square Project, New Cairo, Egypt.
- Representing MMC for Catering Company in Kuwait in drafting and negotiating the franchise and trademark license agreements for the franchise of “OVER JAR” concept in Saudi Arabia.
- Advising Cairo for Development Cars Manufacturing S.A.E on the renewal of Egypt Import and Distribution Contract entered into with Automobiles PEUGEOT.
- Advising HWP Cairo Planning and Engineering Consultant Ltd on its successful bid to provide architectural and engineering design services for the construction of the Heliopolis Hospital Project in Cairo, Egypt.
- Advising Pyramids Park Intercontinental Resort on its standard procurement and services agreements.
- Advising Nueterra Healthcare on its operations in Egypt, including drafting the following agreements:
(i) hospital lease agreement.
(ii) hospital development agreement.
(iii) hospital management agreement.
(iv) stock purchase agreement for eligible/potential investors.
(v) shareholders agreement. - Advising Investia Venture Capital on the proposed purchase of ninety-nine percent of Mena for Future Housing.
- Advising CEMEX on the Egyptian Free Competition and Anti-Monopoly Law No. 3 of 2005 and its Executive Regulations.
- Acting for Musahamat Investia Venture Capital on a share swap agreement entered into with Square Asset Management Portugal.
- Arab Petroleum Investments Corporation, a company established according to the laws of the Kingdom of Saudi Arabia on the sale of it stake in Egyptian Bahraini Gas Derivatives Company to Egyptian General Petroleum Corporation.
- Acting for the Egyptian Gulf Bank in relation to a shareholders’ agreement entered into with the Egyptian Awqaf Authority and a consortium of investors pertaining to the Egyptian American Company for Medical Supplies.
- Advising Investia Venture Capital and Gryphon Holdings Plc, a British investment company, on its negotiations with Ukrferry, a Ukrainian company with a core business of regular ferry services within the Black Sea for identifying investors to increase the number of the UKrferry’s fleet by adding 3 new vessels of value amounting to USD 18,000,000.00 plus USD 2,000,000.00 as working capital in cash.
- Advising Al Marasem International For Development Company on an agreement for Passenger Boarding Bridge and Visual Docking Guidance System at the Hurghada International Airport New Terminal.
- Advising Core Publications on the development of websites agreements, the negotiation and execution of an online publisher representation agreements, an advertising agency agreement sand an ad selling agreements.
- Advising KCC Engineering and Contracting Company, a Kuwaiti entity, on a variety of commercial matters including drafting and negotiating joint venture and consortium agreements.
- Representing FIFA’s exclusive licensee of the rights to broadcast the 2014 FIFA World Cup in the Middle East and North Africa region (MENA) on broadcasting infringement issues including streaming and posting videos of World Cup matches in breach of copyright and other rights.
- Acting for PRISME Entertainment in relation to the Giza Pyramids Sound and Light Show Development and Promotion Agreement including negotiations with the Egyptian Sound and Light Company and the Egyptian Ministry of Tourism.
- Advising Webcom Media on drafting and negotiating a mobile advertising ad selling and distribution agreement.
- Advising Al Darwish Engineering WLL on the Joint Venture Agreements entered into with Aktor S.A in relation to three separate joint ventures established under the laws of the State of Qatar for Project No. 25045-000-FC1-C000-00011: Airline Support Facilities At New Doha International Airport , Project N0. 25045-000-FC1-C000-00026: Aircraft Maintenance Hangar At New Doha International Airport and Project No. NDIA-8201-BUATC: Back-Up Approach And Training Center.
