We advise a number of local and international oil and gas exploration and production companies on upstream and downstream transactional and regulatory issues. Our experience ranges from advice on bidding procedures and negotiating concession agreements to advice on corporate structures and governance. We provide legal support to all areas of the oil and gas exploration and production business including corporate, commercial, operational, procurement and financing aspects.
We also have extensive experience in providing legal support to the electricity and renewable energy sectors.
Our recent infrastructure practice included advising Al Marasem International For Development Company on the agreements entered into with the Egyptian Airports Company in relation to the construction of new terminals at Hurghada International and Alexandria International airports.
The following are a selection of our Energy and Infrastructure transactions:
- Acting for Primesouth International on drafting and negotiating the Rehabilitation, Operation, Management and Maintenance Agreement for Al Doura Thermal Power Plant in Baghdad, Iraq entered into with the Iraqi Ministry of Electricity with a total value exceeding USD 800 million.
- Advising China Electric Power Equipment and Technology Co., Ltd. (CET), an affiliate of the State Grid Corporation of China (SGCC), on the implementation and execution of the EETC 500 kV Transmission Lines Project. With a total length of 1200 Km, the transmission lines projects extends through the Nile Delta up to Upper Egypt.
- Advising Primesouth International on drafting and negotiating the Engineering, Procurement and Construction Contract (EPC) for the Rehabilitation of Al Doura Thermal Power Plant in Baghdad, Iraq entered into with SEPCOIII Electric Power Construction Co., Ltd.
- Advising Shell Egypt on Egyptian law aspects of Shell International’s global acquisition of BG Group.
- Representing DANA Petroleum East Zeit Ltd in the negotiation with Wintershall DEA Suez GMBH and the Egyptian General Petroleum Corporation with respect to the Shipping and Loading Agreement of SUCO and ZEITCO Crude Oil.
- Representing Dana Petroleum in drafting and negotiating a gas sales agreement with EGPC.
- Advising China Electric Power Equipment and Technology Co., Ltd. (CET), an affiliate of the State Grid Corporation of China (SGCC), on the construction of 220 kv Double Circuit OHTL Toshky 2 (substation) / Toshky 4 (substation) 220 kv OHTL.
- Advising BG Egypt on a USD 1 billion joint development project engineering, procurement, installation and commissioning (EPIC) of subsea facilities.
- Advising Shell Egypt on a number of crude oil processing agreements, gas transportation agreements and gas sales agreements.
- Advising PICO International Petroleum on its successful acquisition with KUFPEC of the Egyptian General Petroleum Corporation’s (EGPC) interest in Geisum and Tawila West Concession Agreement, Offshore Gulf of Suez, Egypt.
- Representing BG Egypt on its bid to acquire the Egyptian General Petroleum Corporation’s (EGPC) interest in Abu Qir Concession Agreement, Offshore Alexandria, Egypt.
- Advising BP Egypt in relation to a USD 350 million project in connection with Law No. 126 for the year 2010 authorizing the Minister of Petroleum to contract with the Egyptian General Petroleum Corporation, BP Egypt West Mediterranean (Sector – B) B.V., and RWE D.E.G for the Exploration and Exploitation of Petroleum in the West Mediterranean Deep Water Area.
- Advising Dana Petroleum on the entry into a crude oil tie-in, handling, processing, storage and transportation agreement with EGPC and other contractor members.
- Advising BP Egypt in relation to the West Mediterranean Deep Water Concession Agreement for the Exploration and Exploitation of Petroleum, issued by virtue of law no. 5 for the year 1999, as amended by virtue of Law No. 3 for the year 2008.
- Acting for Oceaneer Petroleum Ltd on the acquisition of twenty-five percent of the contractor’s interest in North Zaafarana Offshore Concession Agreement, Gulf of Suez, Egypt.
- Advising BG Egypt on unitization and balancing agreements entered into with EGAS.
- Acting for BG Egypt on the negotiation and drafting of the concession agreement amendments relating to West Delta Deep Marine Concession Agreement and Rosetta Offshore Nile Delta Concession Agreement, Egypt.
- Advising PICO International Petroleum on the potential acquisition of Devon Energy International interests in Egypt.
- Advising Energean Oil & Gas on the negotiations with EGAS regarding the extension terms of the exploration period under East Magaweesh Concession Agreement, Eastern Desert, Egypt.
- Advising BG Egypt on its standard procurement agreements.
- Acting for PICO International Petroleum on its group corporate restructuring. This includes the restructuring and reorganization of more than twenty-six special purpose vehicles incorporated in more than four jurisdictions.
- Representing PICO International Petroleum on a joint bid for an oil and gas concession acquisition in Syria pursuant to the 2010 International Bid Round announced by the Syrian General Petroleum Corporation.
- Advising BG Egypt on a USD 600 million term assignment agreement entered into with EGPC and EGAS.
- Advising Inotrade and Promotrade on a variety of regulatory, contractual and transactional issues involving advice on negotiations with the Egyptian Ministry of Electricity and Renewable Energy and all of its affiliates with respect to the following projects:
- Talkha Thermal Power Station 2 x 210 MW on an EPC turnkey basis on behalf of Skoda Praha.
- Aswan Dam 1&2 Complete Rehabilitation on behalf of ABB and Sulzer Escher Wyss.
- New Talkha HRSG combined cycle power plant 750 MW on behalf of CMI and Skoda Praha.
- Kureimat II HRSG combined cycle power plant 750 MW on behalf of CMI and Skoda Praha.
- New Naga Hammadi Barrage and Hydropower Plant, installation of 47 x 7 MW Bulb Turbines on a turnkey basis on behalf of VA Tech Hydro.
- New Assiut Barrage and Hydropower Plant, installation of 32 MW Bulb Turbine on a turnkey basis on behalf of Andritz Hydro.
- Advising Investia Venture Capital on a proposed joint venture project for the production of electricity from a solar energy facility as per law no. 203 of 2014.
- Advising China Electric Power Equipment and Technology Co., Ltd. (CET), an affiliate of the State Grid Corporation of China (SGCC) on the legal framework governing the execution of solar power generation projects in Egypt and all related legal aspects.
- Advising Al Darwish Engineering W.L.L. on its joint bid with Hassanesco Trading & Contracting W.L.L. to the Public Works Authority “ASHGHAL”, for tender no. PWA/GTC/25/2020, ROADS AND INFRASTRUCTURE IN BU SIDRA AND FREEJ AL MANASEER ,QATAR.
- Acting for MADINA GROUP W.L.L, on the joint bid with PONTICELLI UPSTREAM LLCQATARGAS for Pre-Qualifi- cation for the Engineering, Procurement, Construction, Installation and Commissioning for QATARGAS North Field Production Sustainability (NFPS) Compression Project – Brownfield Modification for tender number LTC/C/ NFP/5130/20.
